Fund Registration Structure
The fund is structured in Luxembourg under the well-established General Partner/Limited Partner (GP/LP) model, which is widely recognised for its efficiency and flexibility in managing investment vehicles. In this structure, the General Partner (GP) is our parent organisation, Prosperity Law Group (UK), responsible for the strategic oversight and management of the fund. The Limited Partner (LP), Fiduciary Legal Partners, SCSp (Luxembourg), serves as the investment vehicle, providing a distinct legal entity for capital contributions while limiting liability to the extent of its investment.
This structure offers a robust framework for ensuring effective governance and streamlined operations, providing investors with the security of experienced management while maintaining the flexibility needed to capitalise on investment opportunities.
